Experienced and professional business law
Companies
We provide comprehensive advice on corporate law. Our practice covers all commercial operations required by commercial companies, from incorporation, capital increases and reductions, spin-offs of branches of activity, spin-offs and global assignment of assets and liabilities, dissolution and liquidation and bankruptcy proceedings, to the amendment of articles of association, syndication agreements and shareholders' agreements in general, as well as the assumption of board secretariats, legal doctrine for their operating regime and internal regulation.
Negotiation and Contracting
We are experts in commercial contracts and we constantly advise on all types of contracts, both typical or atypical, related to any matter of the business legal-mercantile traffic. Our practice also extends to the specific framework of financial contracts and corporate restructuring operations, as well as to the acquisition or sale of production units.
M&A
We regularly provide legal advice on mergers and acquisitions of companies and the sale and purchase of companies. We accompany our clients throughout the entire process, from the formulation of the letter of intent (LOI), the development of due diligence and the conclusion of the sale and purchase agreement (SPA), and can extend our services to financial advice. We specialise in acquisitions of small and medium-sized companies with a transaction volume ranging from EUR 5 million to EUR 50 million.
Procedural
We have been practising for more than 20 years in civil, criminal and administrative jurisdictions, at all levels and throughout Spain. We also have proven experience in the framework of private jurisdiction in arbitration proceedings. We currently handle more than 200 legal proceedings with a litigious amount of more than 100 million euros.
Competition and Markets
In the litigation area, we maintain a very active practice in proceedings related to anti-competitive conduct, both in administrative proceedings before the National Markets and Competition Commission (CNMC) and in subsequent judicial review before the National High Court and the Supreme Court. Our practice also includes the defence of individual or collective claims for damages related to the declaration of the existence of cartels or similar collusive conduct.
Economic criminal
In this field we combine our professional specialisation, which extends to university teaching, with in-depth knowledge of financial economics applied to business and accounting regulation. In recent years, we have intervened in some of the most important legal proceedings in this area in Spain, both before the National High Court and the Supreme Court, and in many others, just as complex as those mentioned above.
Automobile sector
Our main area of activity is the automotive sector. We advise car manufacturers and importers, which account for 30% of the national market. Our practice also extends to financial institutions, dependent on the brands, which operate in the sector, car rental and car sharing companies and distributors of spare parts and accessories vertically integrated in the structure of some manufacturers. We advise on all aspects of legal relevance related to this industry through permanent advisory agreements or as an in-house councel, also assuming the secretariat of the administrative bodies in the case of importing companies, in addition to their representation on the ANFAC Legal Committee. In the procedural field, we have accumulated experience over the years of more than 900 legal cases, in all jurisdictional instances, in defence of the sector's brands in contentious proceedings with dealers and distributors, industrial suppliers and end consumers. Overall, we have managed procedural claims in excess of €150 million.
Foundations
Since the origins of our firm, we have maintained an intense relationship with legal advice to Foundations within the framework of their regulatory framework. We cover from the process of their creation, with the drafting of their statutes and the determination of their foundational purposes, to ongoing advice on all types of matters - including patronage contracts and the development of projects and activities consistent with their public interest purposes - as well as the regime of relations with their respective protectorates. Our practice also includes the assumption of the legal functions of the secretary of the Board of Trustees. Some of the foundations we advise have a recognised public profile. As a whole, they have endowment capital in excess of 60 million euros, which guarantees the fulfilment of their objectives.
Compliance
Both in the context of the criminal law compliance and in the broader context of corporate policies, we advise our clients on the full range of compliance issues. This practice ranges from risk mapping to the preparation of crime prevention plans, from reporting on corporate codes of conduct to the legal review of internal regulatory policies. Other disciplines
We have entered into permanent collaboration agreements with specialists in the disciplinary areas of labour and tax law. This allows us, beyond our practice specialities, to offer our clients ongoing advice in these legal areas, as well as to form multidisciplinary work teams when required by the services provided to our clients.
Corporate social responsibility
We collaborate with various non-profit foundations, including the Foundation Against Pulmonary Hypertension, and we are committed to dedicating 3% of our professional activity to non-profit consultancy. For almost 20 years we have had an agreement with the Carlos III University so that the Practicum of its Law and Business Administration students can be carried out in our office. During this time we have contributed to the training of more than 50 students, many of whom are now brilliant professionals.
